Terms and Conditions

By hiring the services of Edsel Ads, you ("the Client") accept the following Terms and Conditions. Please read this document carefully before starting any business relationship with us. The Spanish version of these terms prevails in case of any discrepancy.

1. Description of the service

   Edsel Ads is a client acquisition agency specialized in paid media, automation and artificial intelligence. Our services include, but are not limited to:

   • Campaign management on Meta Ads (Facebook and Instagram)
   • Campaign management on Google Ads
   • Campaign management on TikTok Ads
   • Campaign management on Microsoft Advertising (Bing Ads)
   • WhatsApp, Instagram and WebChat automation with artificial intelligence
   • CRM and sales pipeline setup and management
   • Email marketing
   • Design and development of landing pages and websites
   • Google Business Profile optimization
   • Search engine optimization (SEO) and optimization for AI answers (AEO)
   • Strategic consulting and performance reports

   The exact scope of the services depends on the plan hired (Starter, Growth or Scale) and on what is agreed in writing with the Client.

2. Payment terms

   The services of Edsel Ads are governed by the following payment terms:

   • Payments are monthly and made in advance, on the 1st of each month.
   • Edsel Ads does not charge a setup fee.
   • The advertising budget (what is invested directly in Meta, Google, TikTok, Microsoft, etc.) is in addition to Edsel Ads' management fee and is the Client's responsibility. The minimum budget is US$300 per month and is paid directly to the platform.
   • Prices are in United States dollars (USD) unless otherwise agreed in writing.
   • In case of late payment, Edsel Ads reserves the right to pause the services until the situation is resolved.
   • Payments are non-refundable once the monthly service cycle has started.

   Important: Edsel Ads' fee covers strategic and operational management only. The advertising budget is handled in the platforms' accounts and is managed by the Client or by Edsel Ads as agreed.

3. Term and cancellation

   The services of Edsel Ads are hired with an initial commitment of 3 months, the time the platforms and the system need to learn and fine-tune. After that period, the service renews month to month. To cancel the service once the initial period is completed:

   • The Client must give at least 15 days' notice before the next billing cycle.
   • Cancellations made with less than 15 days' notice may result in the following month being charged.
   • Edsel Ads reserves the right to cancel the service with 15 days' notice in case of breach of these terms.

4. Client responsibilities

   So that Edsel Ads can provide its services effectively, the Client agrees to:

   • Provide access to the ad accounts, pages and tools needed for management.
   • Supply creative materials, business information and approvals in a timely manner.
   • Keep enough balance in their ad accounts to run the campaigns.
   • Attend to the potential clients generated by the campaigns.
   • Inform Edsel Ads of changes in the business that may affect the campaigns.
   • Make sure the advertised products or services comply with each platform's policies.
   • Not publish content that violates the policies of Meta, Google, TikTok, Microsoft or other platforms.

5. Intellectual property

   The creative materials (copy, images, videos, strategies) developed by Edsel Ads for the Client are the property of Edsel Ads until the agreed services are paid in full. Once the debt is settled, the Client will have full rights over the materials created specifically for their campaign.

   Edsel Ads' methodologies, processes, templates and know-how are the exclusive property of the agency and may not be reproduced, sold or shared without express authorization.

6. Guarantees and results

   Important notice: Edsel Ads does not guarantee specific results (number of leads, sales, revenue or ROI). Digital marketing depends on many external factors, including the market, the competition, the quality of the Client's product or service and the platforms' changing policies.

   What we do guarantee:

   • Professional, strategic management of your campaigns
   • Continuous optimization based on real data
   • Full transparency in reports and metrics
   • Timely, professional communication
   • Compliance with each platform's advertising policies

7. Compliance with advertising platforms

   Edsel Ads operates in strict compliance with the advertising policies of Meta (Facebook and Instagram), Google Ads, TikTok Ads and Microsoft Advertising. The Client agrees to:

   • Not request ads that violate the platforms' content policies
   • Not advertise prohibited products or services (weapons, drugs, unauthorized adult content, etc.)
   • Not use deceptive or fraudulent practices in their ads
   • Maintain a landing page or website with an up-to-date privacy policy

   If an ad account is suspended due to the Client's violations of the platforms' policies, Edsel Ads will not be responsible and payments made will not be refunded.

8. Limitation of liability

   In no case will Edsel Ads be liable for:

   • The Client's loss of revenue or profits
   • Indirect, incidental or consequential damages
   • Changes in the algorithms or policies of the advertising platforms
   • Service interruptions caused by third parties (Meta, Google, TikTok, Microsoft, hosting providers, etc.)
   • Unauthorized access to the Client's accounts by third parties

   Edsel Ads' maximum liability to the Client is limited to the amount paid for the services in the month in which the incident occurred.

9. Confidentiality

   Both parties agree to keep confidential the commercial, strategic and financial information shared during the service relationship. This obligation remains in force for 2 years after the service ends.

   Edsel Ads may mention the Client as a success story or reference, using general result metrics and without disclosing their advertising spend, unless the Client expressly requests otherwise in writing.

10. Governing law and dispute resolution

    These Terms and Conditions are governed by the laws of the Dominican Republic. Any dispute that cannot be resolved amicably between the parties will be submitted to the competent courts of Santo Domingo, Dominican Republic.

11. Changes

    Edsel Ads reserves the right to modify these Terms and Conditions at any time. Changes take effect 30 days after being published on this site. Continued use of the services constitutes acceptance of the new terms.
